ARTICLE I –
PURPOSE
The general purpose
of the Rocket City Mustang Club (RCMC), a non-profit group thereinafter
called the Club, shall be the restoration, preservation, promotion, and
enjoyment of Mustangs and to serve as a source of information concerning
these automobiles for the benefit of its members as well as the general
public. The Club is a chartered regional group of the Mustang Club of
America (MCA).
ARTICLE II –
LOCATION
The Club will be
headquartered in the city of Huntsville, county of Madison, state of
Alabama.
ARTICLE III –
PERSONAL LIABILITY
No officer,
director, or member of the club; past, present, or future shall be held
personally liable for any claim, damage or debt against the Club.
ARTICLE IV –
OFFICERS
The officers of
the Club shall be elected by vote of the general membership and shall
consist of President, Vice President, Secretary, and Treasurer. Nominees
for officers must be active members in good standing. Officers shall
serve for a term of one year. Elections will be held in August of each
year and newly elected officers will assume their positions immediately
after elections. A National Director who will also serve as
Parliamentarian/Sergeant-at-Arms is appointed by the newly elected
President immediately after taking office.
ARTICLE V – DUTIES
OF OFFICERS
President: The
President shall preside over all meetings. He/she shall sign all
contracts and other instruments of writing which shall have been first
approved by the Board of Directors.
Vice President: In the
absence of the President, or his/her inability to act, the Vice President
shall preside in his/her place.
Secretary: The Secretary
shall keep a full and complete record of the proceedings of the meetings
and shall supervise and control the keeping of the records and accounts
of the Club. The Secretary shall compile the minutes of all meetings and
have them available for reference during future meetings.
Treasurer: The Treasurer
shall receive and safely keep all funds of the club and deposit same in
such bank as may be convenient. The Treasurer shall keep a correct and
up-to-date accounting of all club business transactions and will report
current club fund status to the general membership at each meeting. Only
the Treasurer and President will be authorized to sign checks on the Club
account.
National Director: The
National Director is a member of the National Board of Directors of MCA
and is entitled to vote when in attendance at all National meetings. The
National Director will also serve as Parliamentarian/Sergeant-at-Arms and
will advise in all areas of Parliamentarian law and contribute toward the
proper order of business. He/she will have available at all meetings,
current By-laws and such other documents and information as necessary to
carry out the proper order of business. He/she will ensure that meetings
are conducted in accordance with commonly accepted rules of parliamentary
order.
ARTICLE VI – BOARD
OF DIRECTORS
A Board of
Directors, consisting of not less than five (5) members in good standing
will be appointed by the President. Each will serve for a period of two
years; however terms will overlap so that only two directors will be
replaced each year. A Director shall serve as Chairperson of each
standing committee and all other committees that may be established from
time to time. The Board of Directors, acting as a collective body, shall
approve all Club contracts and other instruments of writing which commit
the Club or its resources. The Board of Directors will meet a minimum of
six times per year at a time and place of their choosing. A quorum of the
Board of Directors shall consist of a majority of same.
ARTICLE VII –
MEMBERSHIP
Ownership of a Mustang is not a prerequisite to club membership. Any
person interested in promoting the purpose of the club can become a
member. Active members are entitled to all club privileges including the
right to vote. Immediate family members of dues paying members are
entitled to participate in all club activities but do not have voting
privileges.
ARTICLE VIII –
MEETINGS
General membership meetings will be held the third Tuesday of each month
at a time and place selected by the membership. Other meetings may be
called as the President, Board of Directors, of general membership may
desire
ARTICLE IX – DUES
Membership dues
shall be as fixed by the Ways and Means committee with approval by the
vote of the members. Currently, dues are $12.00 per year. New members
dues will be pro-rated for the first year of membership and will be
assessed at the rate of $1.00 per month for the remainder of the year.
Thereafter, dues will be assessed at the rate of $12.00 per year, payable
in full prior to 31 January. Past members who rejoin the Club after an
absence of at least two years will be considered new members for dues
purposes.
ARTICLE X –
STANDING COMMITTEES
There will be three
standing committees, each chaired by a Director with membership made up
of a minimum of two club members. Committees will meet as necessary and
will report activities to the general membership during regularly
scheduled meetings. The standing committees are:
1. Ways and Means – The
Ways and Means (W&M) Committee is charged with the responsibility of
developing methods and resources for raising the necessary revenues for
the operation of the Club.
2. Programs and Activities
– The Programs and Activities (P&A) Committee is responsible for
developing, organizing, and directing special club activities, programs,
socials, for the general membership and charitable drives for the general
public.
3. Show – The Show
Committee is responsible for organizing, directing and conducting the
annual RCMC Mustang Show held in the spring of each year.
ARTICLE XI –
APPROVAL AND AMENDMENTS
These By-laws and
any subsequent amendments may be adopted by a majority vote of the active
members present at the club meeting called to approve these
By-laws/amendments.
